The Role

The Legal Counsel, Corporate and Commercial is responsible for providing practical legal advice to assist CWPR in successfully delivering and managing renewable energy projects. The role will be based in Sydney or Canberra with occasional travel to other CWPR offices and to the project sites.
Key responsibilities

  • Providing practical legal support to the Finance and Corporate team based on a sound understanding of the business’ goals and commercial drivers.
  • Drafting and negotiating project contracts for the development, construction and operation of renewable energy projects including power purchase and construction contracts.
  • Drafting and negotiating sale and purchase contracts. Managing compliance with obligations under project contracts.
  • Assisting with corporate governance.
  • Coordinating of due diligence undertaken by external legal advisers for the purposes of projects reaching financial close.
  • Coordinating FIRB applications.
  • Coordinating the management and resolution of disputes with a focus on project contracts.
  • Liaising with external legal counsel, customers, counterparties, regulatory bodies and other stakeholders.
  • Developing and evolving high quality template documents and actively promoting a consistent approach to internal document management within CWP Renewables.
  • Balancing a high-volume work environment and competing priorities and delivering timely and high-quality practical legal advice.

    About you

    You will have:
  • Tertiary qualifications in law with a current unrestricted practising certificate in Australia.
  • 3+ years of relevant experience in energy and/or infrastructure projects in a major law firm or a sophisticated in-house legal department.
  • Experience drafting, negotiating and managing obligations under project contracts.
  • Experience with corporate governance.
  • Experience with M&A transactions (desirable).Experience drafting, negotiating and managing obligations under finance contracts (desirable).
  • Experience working on renewable energy projects (desirable).Good sense of commercial drivers.
